Terms of Service

These Terms of Service ("Terms") are a legal agreement between you ("you", "your", or "Customer") and ANV AD Ltd. ("Promtys", "we", "us", or "our") governing your access to and use of the Promtys website builder, dashboard, APIs, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

1. Definitions

• "Service" — the Promtys platform, including AI website generation, hosting, online booking, integrations, dashboard, and APIs.
• "Customer Content" — text, images, logos, business data, and other materials you upload or generate using the Service.
• "End User" — a visitor to a website you build and publish using the Service.
• "AI Output" — website content (structure, copy, layout, styling) generated by the Service's AI features based on your inputs.
• "Subscription" — a paid plan that grants access to the Service for a defined period.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate account information and to keep it up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

3. Description of the Service

Promtys enables you to create, publish, and host websites generated with the help of AI, and to offer online booking that can synchronize with third-party scheduling and CRM systems. Features, plans, and limits may change over time as we improve the Service. We may add, modify, or remove features at our discretion.

4. Subscriptions, Billing, and Refunds

• Fees. Access to paid features requires an active Subscription. Fees, billing cycles, and plan limits are described at checkout or in your order.
• Billing. Subscriptions renew automatically at the end of each billing cycle unless cancelled before renewal. You authorize us (and our payment providers) to charge your payment method.
• Taxes. Fees are exclusive of taxes unless stated otherwise; you are responsible for applicable taxes.
• Changes. We may change pricing with prior notice; changes apply from your next billing cycle.
• Cancellation. You may cancel at any time; access continues until the end of the paid period.
• Refunds. Except where required by law or expressly stated, fees are non-refundable.

5. AI-Generated Content

The Service uses AI to generate website content from your inputs. You understand and agree that:

• AI Output may contain errors, inaccuracies, or content that requires editing, and you are responsible for reviewing it before publishing;
• you must not rely on AI Output as professional (legal, medical, financial, or other) advice;
• you are responsible for ensuring AI Output and your published site comply with applicable laws and third-party rights; and
• subject to your compliance with these Terms and any third-party AI provider terms, you may use the AI Output for your website.

6. Acceptable Use

You agree not to use the Service to:

• violate any law or third-party right, including intellectual property and privacy rights;
• upload or publish content that is unlawful, infringing, defamatory, deceptive, or harmful;
• distribute malware or interfere with the security or operation of the Service;
• attempt to gain unauthorized access to the Service or other accounts;
• scrape, resell, or reverse engineer the Service except as permitted by law; or
• send spam or unsolicited communications through the Service.

We may investigate and take appropriate action, including suspending or terminating accounts, for violations.

7. Customer Content and License

You retain ownership of your Customer Content. You grant Promtys a worldwide, non-exclusive license to host, store, reproduce, modify (for formatting and display), and process your Customer Content as needed to provide and improve the Service. You represent that you have the rights necessary to upload your Customer Content and to grant this license, and that your Customer Content does not infringe any third-party rights.

8. Promtys Intellectual Property

The Service, including its software, design, templates, and trademarks, is owned by Promtys or its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights. You may not use our branding without our prior written permission.

9. Third-Party Integrations

The Service may integrate with third-party systems (for example, scheduling, CRM, payment, or analytics providers). Your use of such integrations is subject to the third party's own terms and privacy practices. We are not responsible for third-party services, and your connection of an integration authorizes the exchange of data necessary to operate that integration.

10. Custom Domains

If you connect a custom domain, you are responsible for owning or controlling that domain and for any registrar or DNS configuration. We are not responsible for domain availability, renewal, or third-party registrar actions.

11. Availability and Disclaimers

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

12. Suspension and Termination

We may suspend or terminate your access if you breach these Terms, fail to pay fees, or where necessary to protect the Service or comply with law. You may stop using the Service and close your account at any time. Upon termination, your right to use the Service ends, and we may delete your data after a reasonable period, except where retention is required by law.

13. Limitation of Liability

To the maximum extent permitted by law, Promtys and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to your use of the Service.

14. Indemnification

You agree to indemnify and hold harmless Promtys and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Customer Content, your use of the Service, or your violation of these Terms or applicable law.

15. Governing Law and Disputes

These Terms are governed by the laws of Cyprus, without regard to conflict-of-laws rules. The courts located in Cyprus will have exclusive jurisdiction over any disputes, unless mandatory law provides otherwise.

16. Miscellaneous

• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
• Entire agreement. These Terms, together with the Privacy Policy and any order forms, constitute the entire agreement between you and Promtys.
• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
